TERMS OF SERVICE

These Terms of Service (“Terms”) govern the purchase and use of diagnostic services provided by Luminary AI Ltd (company number 16402565), trading as Luminary Diagnostics (“Luminary”, “we”, “us”, “our”).
By purchasing any service through our website or payment link (including via Stripe), you (“Client”, “you”) agree to these Terms..
1. Services Provided
Luminary provides structured diagnostic instruments relating to AI influence, human authority, visibility, dependency, and intervention capacity, including:
Signal Pulse
Governability Briefing
Exposure Pulse
Control Pulse
Validity Pulse
(each a “Diagnostic Instrument”).
All services are diagnostic in nature and intended to surface whether deeper examination may be appropriate.
2. Not Consultancy, Not Advice, Not Audit
Luminary does not provide consultancy or advisory services.
Luminary does not provide:
legal advice
regulatory advice
technical implementation advice
operational risk management advice
audit, certification, or regulated assurance services
No Diagnostic Instrument constitutes an audit, assurance engagement, certification, or formal evaluation of compliance, safety, or adequacy.
3. Descriptive Outputs Only (No Reliance)
Any reports, notes, interpretations, or outputs provided by Luminary:
are descriptive, not prescriptive
are based on information provided by participants and/or the Client
may be incomplete, inaccurate, or context-dependent
You acknowledge and agree that no reliance may be placed on any output as:
evidence of compliance with law or regulation
proof of safety, governance, or adequacy
assurance, validation, or certification of any system or practice
Luminary outputs do not replace independent professional judgement, legal advice, regulatory advice, audit, or verification.
4. Client Responsibility
You remain solely responsible for:
decisions taken in relation to AI systems
governance, oversight, and compliance obligations
deployment, monitoring, and control of AI systems
meeting any duties of care or regulatory requirements
Luminary does not assume responsibility for your systems, decisions, or outcomes.
5. Authority to Purchase
By purchasing a Diagnostic Instrument, you represent that:
you have authority to enter into this agreement on behalf of your organisation, and
your organisation accepts these Terms.
6. Fees and Payment
Fees are as stated at the time of purchase.
Unless otherwise agreed in writing:
payment is due in full in advance
purchases are processed via Stripe or other approved payment providers
Payment by card does not change the diagnostic nature or limitations of the services.
7. Delivery Commencement, Refunds, and Rescheduling
Due to the professional and time-reserved nature of Diagnostic Instruments:
Fees are non-refundable once delivery has commenced.
For these purposes, “delivery commenced” includes:
scheduling of an interview or briefing session
launching an automated diagnostic instrument
initiation of report generation or analysis
Rescheduling may be permitted at Luminary’s discretion with reasonable notice.
8. Suspension or Termination
Luminary reserves the right to suspend or terminate services where:
the Client breaches these Terms
misuse of outputs occurs
delivery becomes impracticable due to Client non-cooperation
Any termination does not affect accrued payment obligations.
9. Confidentiality
Each party agrees to treat confidential information disclosed during the engagement as confidential.
Luminary will not disclose Client-specific information except:
with Client consent
as required by law
in anonymised and aggregated form for internal improvement
10. Data Processing and Participant Responses
Where Diagnostic Instruments involve responses from Client personnel or participants, the parties acknowledge that:
The Client acts as Data Controller, determining the purpose and lawful basis for collecting participant responses.
Luminary acts as Data Processor, processing participant response data solely for delivering the Diagnostic Instrument and associated outputs.
The Client confirms it has provided all necessary notices and obtained all necessary rights or consents for participants to provide information.
Luminary will retain participant response data only as long as necessary to generate and deliver outputs, and in any event no longer than 30 days unless otherwise agreed in writing.
11. Intellectual Property
All intellectual property in Luminary’s:
methodologies
diagnostic instruments
frameworks
report formats
constitutional stack concepts
remains the exclusive property of Luminary.
Clients receive a limited licence to use outputs internally for governance consideration only.
No right is granted to reproduce, resell, or commercialise Luminary materials.
12. Limitation of Liability
To the maximum extent permitted by law:
Luminary’s total aggregate liability arising out of or relating to any Diagnostic Instrument shall be limited to the fees paid by the Client for that instrument.
Luminary shall not be liable for any indirect or consequential losses, including:
loss of profit
loss of revenue
loss of business
reputational damage
business interruption
regulatory outcomes
Luminary shall not be liable for decisions or actions taken by the Client based on diagnostic outputs.
Nothing in these Terms excludes liability for fraud or for death/personal injury caused by negligence where such exclusion is unlawful.
13. Governing Law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
